Exiting Your Janitorial Contract

Here are important steps to exit a janitorial contract with auto-renewal, set on-year terms, and a difficult 30-day written notice clause due to nonperformance:

 Review the Contract’s “Term and Termination” Clause

• Thoroughly examine the specific language in the “Term and Termination” clause of the contract, which details how and when to terminate. Understand your obligations, such as the 30-day written notice prior to the contract's expiration.
• Ensure this review is done prior to signing any janitorial contract to avoid misunderstandings about terms or penalties.

Document Nonperformance Issues in Writing

• Provide the cleaning company with written notice detailing the nonperformance issues, keeping it broad but clear. Examples of general nonperformance might include failure to meet cleaning standards, incomplete tasks, or inconsistency in the cleaning schedule.
• Include specific dates, times, and details of when these failures occurred to create a clear timeline.

Inform Staff and Provide a Single Point of Contact

• Make your internal staff aware that any feedback on the cleaning company’s performance should only be provided by the designated point of contact. This centralizes communication and ensures no conflicting messages are given to the cleaning company.
• It also protects the integrity of the process, as all communications regarding performance issues remain consistent.

Follow-Up on Failure to Cure Within 30 Days

• After giving the cleaning company, a chance to address (or "cure") the issues, send a follow-up written notice if they fail to resolve the problems within 30 days.
• This second notice should reiterate the nonperformance, the initial notice, and the lack of improvement, and should confirm that you’ve made every effort to allow them to rectify the situation.

Demonstrate Cooperation & Maintain Detailed Communication Records

• Show that you have cooperated in trying to resolve the issue by having your own staff complete any tasks that were missed by the janitorial team. This demonstrates good faith efforts on your part to maintain a clean and functional environment.
• Date and time all communications, including the delivery of notices, and ensure you have proof of delivery, such as a receipt or acknowledgment of receipt from the cleaning company.
